Financing 

We run a very highly-regarded real estate financing practice that includes the representation of real estate lenders, borrowers, and investors in transactions that range from relatively simply to highly complex -- and include both debt financing and equity financing.  Our real estate transaction attorneys cover real estate financing of every nature and size. 

With respect to debt financing, our lending clients include investment and commercial banks and other financial institutions originating, purchasing and selling loans intended for securitization, syndication, sale, participation and portfolio investment. On the borrower side, we represent developers, owners and operators in procuring financing designed to meet the needs of their particular projects. We have experience in a diverse array of real estate financing structures, including acquisition and construction loans, term loans, portfolio financings, secured and unsecured credit facilities, bridge financings and mezzanine loans.

With respect to equity financing, we assist developers, owners and operators to bring new cash into a deal in exchange for an ownership interest.  This may be through a basic joint venture, partnership or tenants-in-common arrangement to a more complex private placement.  Our attorneys are skilled at structuring equity deals that effectively balance the need for capital against “giving away the shop” -- and because equity financing often involves debt financing for leverage, we are also adept at addressing the concerns of your debt lenders to ensure those concerns do not inhibit the deal.

Graham & Dunn’s Real Estate team is also active in the real estate workout arena with experience in the representation of banks, servicers and investors in loan workouts and the purchase and sale of portfolios of defaulted debt. Our strength has been in the close coordination of the transactional, remedies, litigation and bankruptcy elements of troubled debt for investors, owners and other interested parties.
