Denise has been a member of the Corporate Finance & Services Team since 1986. She has focused her practice, in part, on working with financial institutions on business transactions, capital raising and formations, such as: mergers and acquisitions, bank holding company formations, formation of state chartered and national banks, public offerings, private placements, 1933 Act registrations and stock repurchases.
In addition to her transactional experience, Denise works closely with public company financial institutions on securities compliance and reporting, corporate governance, financial reporting and related matters, including: 1934 Act registrations and reporting, annual and special meeting proxy materials, Section 16 compliance, Rule 144 and 145 compliance and resales, stock exchange compliance/listings and bank and holding company reporting.
