______________________________________________________________________Pat is a corporate and transactional lawyer. He provides ongoing strategic counsel to his clients' boards of directors and management on a wide range of business matters including corporate issues (capitalization, governance, etc.), executive and employee compensation, and the commercial transactions that are core to their respective businesses. Pat also advises his clients on one-off transactions including corporate financing matters (both venture capital and angel investments), mergers and acquisitions (both buy and sell side), licensing and distribution transactions, and other commercial matters.
Pat chairs the firm’s Emerging Companies & Entrepreneurs Team and focuses a large part of his practice representing start up companies. In this regard, Pat acts as outside general counsel utilizing his significant experience in representing emerging companies to provide strategic counsel on initial capitalization, intellectual property, fundraising, operational, and M&A matters.
